Your Role

The Associate General Counsel (AGC) will be a Senior Director-level member of Blue Shield’s Law Department and will be a leader in the company. The Law Department partners with the company’s business leaders to embrace legal and ethical behavior in the achievement of the company’s mission. This team is highly regarded within the company and respected by management. It is comprised of top tier, analytical and intelligent attorneys; paralegals; contract and regulatory specialists; compliance specialists; and administrative support staff.

The new role will be part of the Corporate Secretary team and report to the Assistant Secretary & Associate General Counsel. The role has primary responsibility for supporting all aspects of the operations of the Company’s Board of Directors, including corporate governance, records and reporting, and administrative activities. It also has responsibility for providing counsel on governance matters to the Board and Blue Shield’s business leaders across the company as needed. The Assistant Secretary must comfortably adapt to change, skillfully and quickly master new responsibilities, demonstrate strong business acumen, and possess a strong drive for excellence.

Your Work

  • Manage all board and committee meeting logistics, attend and record minutes of all board and committee meetings; facilitate board communications
  • Advise the Board on its roles and responsibilities pursuant to applicable law and governance documents
  • Subsidiary management and governance
  • Provide counsel to Blue Shield’s subsidiaries business units on corporate governance and Board reporting matters
  • Facilitate the orientation of new Directors and assist in Director training and development
  • Maintain key corporate documents and records
  • Support audit, compliance and reporting
  • Monitor corporate governance developments and assist the Board in tailoring governance practices to meet the Board's needs
  • Administrative and logistical support for the Board, including administration of Board compensation, vendor management for Board related products and services, and related activities
  • Assist in other substantive legal areas and work with members of Legal leadership, attorneys and staff on departmental matters as needed
  • Provide thoughtful, creative and timely legal advice to various BSC business units
  • Coordinate advice and support with internal and external subject matter experts, including compensation and benefits, audit, regulatory, tax, information technology, and other stakeholders
  • Work collaboratively with a broad range of people, developing and maintaining strong relationships between the Law Department and BSC’s business units
  • Experience in health care, technology and IP licensing preferred but not required
  • Experience in managing outside counsel preferred but not required


QUALIFICATIONS
Your Knowledge and Experience

  • Requires at least 10 years of experience providing legal advice on relevant areas of the law at a top law firm or in-house corporate law department
  • Requires a Bachelor's degree
  • Requires a Juris Doctorate degree
  • Excellent written, verbal and interpersonal communication skills, with a keen ability to communicate effectively throughout all levels of the organization
  • Strong negotiation, consultative and facilitation skills with the ability to effectively interact with all internal and external stakeholders.
  • Personal presence, credibility, and the professional demeanor necessary to interact with company management, business units, SMEs, and regulatory bodies with persuasiveness and confidence
  • Collaborative team player with an ability to play multiple roles
  • Adaptable; flexible; comfortable with uncertainty and ambiguity
  • Ready, willing and able to assist with new challenges; responsive
  • Ability to influence a diverse set of stakeholders and drive to solutions

Pay Range:

The pay range for this role is: $ 202400.00 to $ 303600.00 for California.

Please note that this range represents the pay range for this and many other positions at Blue Shield that fall into this pay grade. Blue Shield salaries are based on a variety of factors, including the candidate's experience, location (California, Bay area, or outside California), and current employee salaries for similar roles.

Physical Requirements:

Office Environment - roles involving part to full time schedule in Office Environment. Due to the current public health emergency in California, Blue Shield employees are almost all working remotely. Based in our physical offices and work from home office/deskwork - Activity level: Sedentary, frequency most of work day.
