Purpose:

This position is responsible for providing support legal services to the General Counsel and to the entire legal team, including the contracts and trade compliance teams.

Duties/Responsibilities:

  • Project Management & General Assistance.
    • Prepares and edits correspondence and other documents with a high attention to detail.
    • Manages worldwide corporate entity filings and maintains corporate entity records.
    • Updates or drafts legal department policies and documents at the direction of the General Counsel.
    • Drafts resolutions, board and shareholder notices, and meeting materials. Maintains minute books and shareholder records.
    • Manages electronic signature platform, including training users.
    • Provides general assistance to other legal team members in the contracts and trade compliance groups.
  • Agreement Review, Negotiation & Drafting – Prepares certain legal agreements, including confidentiality agreements, distribution agreements, consulting agreements, sales rep agreements, etc. in accordance with established templates and company policies. Updates templates as needed and as directed. Circulates agreements for signature via electronic signature platform and maintains legal files.
  • Contracts Coordination – Assists contracts team with contract review, documentation management, and order entry. Assists contracts team with shipping, invoicing, and product returns. Assists with validating accurate entries in the ERP system. Assists with invoicing through Wide Area Work Flow (WAWF). Assists with the collection of documents and administration of letters of credit. Files and maintains major contracts library.
  • Trade Compliance Support – Maintains trade compliance databases, including the license database and classification database. Assists team with document and drawings compliance markings and updates.
  • Dispute & Litigation Management – Maintains litigation calendar. Prepares and acts as primary point of contact for litigation holds and electronic systems retention. Assists with discovery, subpoenas, and disclosure, provides review of disclosure materials as necessary. Tracks and maintains files for all aspects of each litigation or dispute.
  • Acquisitions/Corporate Transactions – Assists General Counsel in collection and filing of all legal due diligence materials. Prepares summaries of key diligence materials for management and General Counsel review. Creates and maintains checklist and schedule for all transactions.
  • Intellectual Property Management – Maintains internal files for all patent and trademark matters. Primary point of contact for all IP maintenance matters. Monitors online retailers for counterfeit products and reports via appropriate channels. Provides initial response to internal client reports of counterfeit products, and creates first drafts of notices, as necessary.
  • Budget Management – Overall responsibility for managing e-billing systems and all billing matters for the organization. Works with finance and accounting team to ensure information is transmitted and received in a timely manner. Provides regular reporting on legal spend by matter and/or time period.
  • Insurance – Prepares insurance renewal documents for review by the General Counsel/CFO. Maintains schedule of insurances and obtains certificates of insurance as needed for internal clients.
  • Record Maintenance – Assists entire team in filing and maintaining legal, contracts and trade compliance records.
Requirements:

Education & Accreditation:

Bachelor’s degree preferred. A paralegal certification is a plus.

KNOWLEDGE AND EXPERIENCE:

The individual shall have at least two (2) years of experience working as a legal assistant (in-house experience preferred).


KNOWLEDGE, SKILLS AND ABILITIES:

The individual should have excellent communication and interpersonal skills and be comfortable with and willing to work with cross-functional teams. The individual will be self-motivated, and able to work independently but also collaboratively with a large group of teams across the enterprise. This individual shall have extremely strong project management skills and organization. The individual should also have good computer skills, including experience with Microsoft programs.

SUPERVISION:

Position requires general supervision. Duties are performed with minimal supervision. The individual has primary responsibility for determining the general objectives of his or her work and the manner in which to accomplish such objectives. Work requests are received from persons throughout the organization and the individual determines what work needs to be done; the manner in which it will be done; and the order in which it will be accomplished. The individual is expected to independently identify and accomplish objectives and assignments not specifically requested of her.

CONTACT WITH OTHERS:

The individual interacts with all departments within the corporation on a frequent basis including all members of the company’s executive management team.

PHYSICAL/MENTAL REQUIREMENTS:

Employee is occasionally required to stand; walk; sit; use hands to finger, handle, or feel objects, tools, or controls; reach with hands and arms; climb stairs; balance; stoop, kneel, crouch, or crawl; talk or hear; and taste or smell. The employee may lift and/or move up to 50 lbs. Specific vision abilities required by the job include close vision, distance vision, color vision, peripheral vision, depth perception, and the ability to adjust focus. The individual must have a high level of comprehension, and a high level of general, verbal, and numerical intelligence.

WORK ENVIRONMENT:

Works majority of the day in a climate-controlled environment, with the exception of occasionally performing work in the factory/warehouse, which is subject to moderate changes in temperature.

Generally, travel is not required
