Role Overview

We are searching for a professional who independently handle the full contract lifecycle, from supporting the Business Development team during the sales cycle through contract closure and ongoing maintenance. This includes contract review, drafting, negotiations and compliance, with good judgment in escalating potential risks to management as appropriate.

The ideal candidate must be experienced, energetic, and eager to contribute in a fast-paced, high-growth environment. It will be essential to understand or learn the professional services business model, the unique legal considerations relevant to technology firms, and the interaction of legal and business strategy.

Responsibilities

  • Under the oversight of in-house counsel/Contracts Director draft, review, and negotiate legal documents, including Master Service Agreements, Statements of Work, Purchase Orders, Product Addenda, Non-Disclosure Agreements, Business Associate Agreements, and other legal documents
  • Analyze and interpret contract terms to help executives make informed business decisions
  • Respond to requests to draft novel business and technical contracts and working with internal stakeholders to obtain necessary approvals
  • Assist with the creation, revisions, and up keep of contract templates
  • Working with counsel and other corporate departments to develop a formal procurement process
  • Work with finance and accounting to review and approve non-standard pricing and payment terms
  • Coordinate RFP responses to questions for other Spruce departments
  • Work to further integrate and improve related processes including the security review and purchase order processes
  • Create and implement new processes to improve contracting efficiency
  • Manage communications with internal stakeholders to resolve front line contractual issues, business calls, and generally keep the contract process moving forward

Background & Skills

  • Approximately 5-7 years of experience performing legal contract drafting, review, and negotiation support in a general counsel’s office or another corporate in-house environment
  • Experience in the technology industry a plus
  • Bachelor’s degree in business field preferred with Juris Doctorate a strong plus
  • Paralegal training, certificate, or similar experience strongly preferred
  • Excellent written and verbal communication skills. Please provide a writing sample
  • Experience with NetSuite, HubSpot and/or Summize preferred but not required
