Elysian Capital, Inc. is a fast-growing and diverse private equity firm looking for an experienced corporate attorney to join our growing legal department. We are looking for someone with a strong work-ethic who shares our core values. Successful candidates will have a broad experience and knowledge base that should include a corporate/transactional proficiency; experience in real estate law, litigation, and healthcare law is preferred.

Responsibilities:

  • Review, negotiate and draft a wide variety of corporate, real estate, healthcare, and commercial agreements and other similar and related materials and documents, as needed.
  • Assist in the negotiation, drafting and amendment of standard agreements for potential agents in the designated territory in conjunction with the relevant business teams.
  • Supporting corporate structuring projects impacting Elysian and certain of its assigns and affiliates’ legal entities from time to time, including, but not necessarily limited to, incorporating new legal entities, undertaking company statutory mergers or transfers of assets, real estate acquisitions and disposition transactions, etc.
  • Advise on complex legal matters by utilizing legal expertise and strategic thinking to assess risk and recommend effective and appropriate solutions.
  • Develop agreement templates to be used by business units.
  • Perform legal research as needed concerning various state and federal legal topics.
  • Interface with company-retained outside counsel as well as counsel representing interests in opposition to the company.
  • Assist with internal management of litigation docket and related discovery matters; help respond to third party subpoenas and document requests.
  • Recommend, review, and revise company policies.
  • Escalate commercial issues to appropriate senior management as needed.
  • Assist with due diligence activities, as needed.
  • Work closely with business units to issue spot and advise, counsel, and influence stake holders to foster compliance, minimize risk, and facilitate growth.
  • Stay abreast of relevant changes to areas of law that impact the company.
  • Other duties as assigned by senior members of the legal department.

Requirements:

  • Juris Doctor (J.D.) degree from an ABA accredited law school.
  • Licensed to practice law in active good standing in Texas courts.
  • Minimum of 4 to 7 years of related experience as a practicing attorney; a combination of law firm and in-house legal department experience preferred.

Preferred knowledge/Skills/Abilities:

  • Experience with drafting and negotiating complex agreements.
  • In-house corporate legal experience a plus.
  • Additional experience in healthcare law, litigation, and/or real estate experience a plus
  • Ability to assess potential risks, benefits, and other consequences of decisions, balancing legal and practical business considerations.
  • Be analytical, a practiced problem solver, and an effective and confident communicator.
