SUMMARY:

Placer.ai is looking for a Senior Counsel to own a wide variety of projects including commercial contracts, corporate governance and structuring, IP, tax and more. You will report directly to the CFO and support Placer’s legal needs. Your responsibilities will include working directly with our outside counsel on matters beyond the scope of the role.

As the sole Sr counsel, you will be asked to review, draft and negotiate a variety of commercial agreements (e.g. services agreements, NDAs, etc…), support the continuous improvement of various contract templates, advise our team on compliance risks related privacy, advise on internal governance standards and required corporate filings. You will oversee global employment practices and legal compliance matters, partner with our international accounting team to ensure proper legal structuring, advise on IP strategy, and assist with occasional M&A and fundraising related matters as they come. In addition you may also provide support to Placer’s Chief Privacy Officer and Placer’s privacy function where needed.

RESPONSIBILITIES:

• Partner with our Sales team to drive processes on all legal aspects of our commercial agreements, including customer contracts, vendor agreements and partnership opportunities.
• Manage the legal workflow for customer negotiations with all of our clients, and ensure our employment agreements are always in compliance with all applicable laws.
• Assist in the regular reviews of governance processes such as analyzing existing processes, documenting new processes and procedures to support compliance, recommending and implementing changes, and continuous improvement practice in governance.
• Be willing to work under tight deadlines, and increase efficiencies for handling the high volume of contracts for customers, vendors and partnerships.
• Be productive in a very fast-paced environment with multiple competing priorities.

REQUIREMENTS:

• JD Degree (or equivalent) with excellent academic credentials from a top school.
• Admitted to a U.S. State Bar – licensed and in good standing.
• 8+ years of relevant work experience in a high growth and fast paced environment.
• Technology (SaaS) experience preferred.
• Strong interpersonal skills
• Excellent problem-solving skills with exceptional business acumen, including the ability to think strategically and give practical advice while balancing company needs with legal risks.
• Ability to communicate complex legal concepts.
• Highly organized self-starter able to handle multiple priorities, manage time effectively and meet deadlines with little supervision.
• High desire to learn and grow with the company.
• Experience with fundraising and M&A is a plus.
• Experience working in a fast-paced, high growth environment is highly preferred.
