The Dennis & Co Auto Group seeks a Corporate Paralegal to manage and drive all legal processes related to our growing portfolio of 16 dealerships, commercial real estate, buy-sells, and associated entities and activities. We own and operate a growing automotive dealership network in the Metropolitan New York Region with a diversified portfolio of automotive brands.

The ideal candidate has a strong foundation working in a corporate environment with a complex entity structure including holding companies, individual equity investors, and commercial properties (leased and owned). Automotive sector experience is not required. The position will be located at the Dennis & Co Executive Offices in West Nyack, NY.

Responsibilities of the role include but are not limited to:

· This is a new position. Establish the internal legal function for Dennis & Co working closely with our COO, outside counsel, and other stakeholders.

· Manage day-to-day interaction with external attorneys, helping to identify and source legal services as needed.

· Lead and execute a high-priority, initial document organization project. Consolidate multiple collections of corporate documents into one well-structured document repository (on Dropbox).

· Manage corporate document repository access, permissions, and administration.

· Prepare and file all necessary documents for formation/dissolution of subsidiaries including charter documents, organizational consents, assumed name filings, bylaws, company agreements, partnership agreements, obtaining EIN’s and qualification in state jurisdictions.

· Maintain and update entity management system for a growing portfolio of dealerships, holding companies, etc., including due diligence, record keeping, preparation of filings, timely filing, and payment of fees, and obtaining and maintaining signatures.

· Provide support for M&A, real estate, banking, and other corporate transactions.

· Assist in responding to requests for information and documents from our internal and external auditors, regulators, partners, and other stakeholders.

· Prepare and file documents related to obtaining operating licenses and registrations for business entities.

· Manage electronic data rooms for uploading, organizing, and storing due diligence materials for review and collaboration with all parties of the transaction.

Requirements of the position include but are not limited to:

· Minimum of 6 years of progressive experience working in a similar role.

· Thorough knowledge of NYS filing requirements for business entities.

· Strong technical acumen including knowledge of cloud-based storage solutions.

· Knowledge of entity formation and preparation of organizational documents.

· Drafting resolutions and other authority documents in connection with loan transactions.

· Proven ability to work effectively under tight deadlines with effective time management and prioritization skills.

· Paralegal Certificate, or bachelor’s degree required.
