The Senior Manager of Corporate Development will be responsible for leading and supporting the development and execution of Westinghouse’s M&A strategy from deal concept through closing. Scope of activities include collaboration with BU leaders to develop and refine strategy for inorganic growth, developing and maintaining a prioritized portfolio of acquisition targets, assessment of targets, leading cross functional teams through the transaction lifecycle, including due diligence and valuation, and will lead negotiations.

Reporting to the Senior Director, Corporate Development, they will work closely with the Westinghouse’s CFO, CEO, and private equity owners and will partner with executive sponsors to identify potential targets, complete comprehensive assessment of targets, develop transaction approach strategies, valuation models, and materials to inform investment decisions. This role will also provide oversight for the integration of strategic initiatives, ensuring that the overall process, timing, and governance for pre- and post-transaction integration activities are conducted in a disciplined and structured manner, including conducting regular team meetings, monitoring status, providing updates to the executive steering committee, and driving proactive escalation and resolution of key issues. This role will be supported by a strong team of managers and associates with significant M&A experience.

Your Day to Day:
  • Work with executive sponsor, executive team, private equity owners, and a cross functional team of leaders for delivery of high-quality M&A transactions within an established strategic, financial, and risk criteria.
  • Leverage experience, business and industry knowledge, and current events to lead all phases of M&A process for transactions worldwide, including engagement with target, due diligence, financial modeling and analysis, quality of earnings, valuation, and acquisition business case development.
  • Developing detailed financial models and valuation scenarios for potential transactions.
  • Performing various financial analysis scenarios, such as build-vs-buy, break-even position, etc.
  • Performing industry research to highlight opportunities within the company's existing lines of business or identifying promising new verticals.
  • Serve as a key leader on negotiation teams to effectuate the execution of deals.
  • Lead and motivate a highly talented team of analysts that have the expertise, business knowledge, financial sophistication, and entrepreneurial drive to add significant value both within the Global Strategy and M&A function as well as future leaders across Westinghouse.
  • Must be able to implement best in class processes, peer check models, presentations, and white papers, and learn from all areas of the Westinghouse team and our private equity partners.
  • Drive long term, well balanced, and global thought leadership within the nuclear and energy industry and within Westinghouse’s strategic planning process.
  • Lead business case development and/or peer review for ad hoc organic initiatives.
  • Implement robust M&A pipeline assessment tools to connect industry trends, product focus, market opportunities, valuation, and other drivers to establish an attractive M&A funnel.
  • Manage the sign to close period on all binding deals to ensure effective execution of purchase agreement commitments and a seamless transition to post-closing integration.
  • Provide oversight of active integration management initiatives to ensure integration processes and structures are implemented, including applying lessons-learned to future company M&A activity.
  • Report out to executive management, private equity partners, and the Board M&A strategy, targets and progress.

Who You Are:
  • MBA or advanced degree strongly preferred.
  • 5 or more years of M&A execution experience in one of more of the following settings: a corporate role, at a private equity firm, investment bank, strategy consulting, or transaction advisory practice at a big-4 accounting firm.
  • 3+ years of management experience
  • Track record of full-lifecycle M&A execution success demonstrated in one of more of the following settings: a corporate role, a private equity firm, investment bank, strategy consulting, or transaction advisory practice at a big-4 accounting firm.
  • Prior experience in a corporate development or M&A function within a global company would be a plus.
  • Demonstrated financial modelling and analysis skills.
