Corporate Counsel

Location: Maryland, Virginia or Washington, D.C. preferred. If not located in the DC Metro Area, remote candidates in the US will be considered.

The Corporate Counsel will help Collage Group do the right thing the right way, make better decisions, understand, and manage risks, and creatively navigate challenges, both externally and internally.

The Corporate Counsel will partner with team members to provide guidance on an array of matters, including corporate governance, negotiating and drafting contracts, risk management, and the development of plans and policies.

What you will do

  • Manage the legal process and be responsible for creating, maintaining, and driving processes and practices to improve the day-to-day efficiency and effectiveness of the team’s operations
  • Manage and support initiatives across the full range of subject matter supported by legal, including contract management, eSignature software, outside counsel spend management, department-wide technology applications, and other processes and scaling efforts
  • Drafting, reviewing, and negotiating SaaS commercial agreements
  • Oversee, streamline, and negotiate various agreements, including NDAs, engagement letters, vendor service agreements, MSAs, service provider agreements, commission agreements, terms of use and customer communications
  • Manage and mitigate legal risks by designing and implementing company policies and procedures while ensuring compliance with all laws and regulations that apply to the business
  • Proactively provide legal, business focused advice and collaborate with departmental leadership and key stakeholders across the business in overseeing and ensuring legal compliance across the business
  • Promote legal, compliance, and risk management best practices throughout the company
  • Identify and implement best in class technology, systems, and processes, including tools to improve legal team intake and matter management efficiencies
  • Collaborate with privacy counsel to ensure compliance with GDPR, CCPA, and other data privacy laws through oversight of Data Protection Agreements with vendors
  • Apply your interpersonal skills to engage, influence, and align partners at all levels through keen eye for business, professional competence, integrity, flexibility, and personal style
  • Keep current on the latest legal operations industry trends and developments
  • Lead outside counsel engagement processes, including alternative fee arrangements and maintenance, and enforcement of billing guidelines
  • Communicate with and manage any third party such as external counsel or auditors
  • Design and deliver legal training to the business
  • Other duties as assigned

What you have done

  • Bachelor’s degree (Law degree and/or MBA preferred)
  • 10+ years of experience in legal operations or a related field
  • Excellent understanding of Salesforce.com, DocuSign, Jira, Google suite and Microsoft suite
  • Experience in finance, including accounting principles, law firm pricing strategies, or and professional services practice management approaches
  • Worked through ambiguity or uncertainty and ability to adjust to evolving priorities and business needs in a rapid-moving environment
  • Have a knack for working independently and collaboratively, proactively identifying areas for improvement, generating action plans, and putting those plans into action to serve the department and company
  • Outstanding analytical, communication, and organizational skills
  • Strong understanding of litigation and transaction matter lifecycles
  • Proven track record of making an impact through developing and completing strategies and delivering key results
  • Strong ability to communicate concisely and effectively with a wide variety of audiences, including senior management and key partners
  • Capacity to think strategically and creatively to identify issues and develop long-term solutions
  • Coordinated and managed projects across various business departments
  • Hold a high degree of professional ethics and integrity
