Job Description Summary

The Chief Corporate Securities Counsel will be the leader of a team whose mission is to oversee and coordinate the complete range of GE Vernova’s securities law compliance, including SEC reporting, board of directors and other corporate governance matters, executive compensation disclosure and monitoring, securities aspects of M&A activity and global securities compliance. The Chief Corporate Securities Counsel will work closely with other internal clients and groups including the General Counsels of GE and GE Vernova, and the GE and GE Vernova Board of Directors.

Job Description

Essential Responsibilities

  • Work closely with GE Chief Corporate Securities Counsel and the General Counsel of both GE and GE Vernova, as well as other GE Vernova colleagues and functions to establish and execute the corporate governance framework and operations including Finance (Controllership/Accounting, Financial Planning & Analysis, Treasury, Risk), Human Resources (Executive Compensation, Employee Benefits), Global Law & Policy department (Litigation, M&A, EHS, Gov’t Affairs & Policy, etc.), Investor Relations, Communications and Strategy.
  • Manage the day-to-day responsibilities of the Corporate Securities team to support the operations and requirements of the Board of Directors including:
    • Develop agenda, prepare materials and work with senior leadership to ensure they are prepared for board of directors’ meetings.
    • Manage of Board portal for correspondence and director communication.
    • Assistance w/ director recruitment and preparation of annual D&O questionnaires.
    • Provide SEC compliance advisory support for Finance function and completion of annual set of processes related to SEC compliance, Coordination of central investor relation efforts, preparation of proxy statement for shareholder meetings, organization of shareholder engagement efforts, ensuring Board Chairman and Corporate Secretary for meetings, and Pre-clearance for board member and executive trading, Section 16 filings
  • Maintain and strengthen the company's disclosure controls and procedures and internal control over financial reporting;
  • Stay abreast of emerging trends and developments in securities law, corporate law and governance, and coordinating internal and external resources to provide education and training.
  • Prepare for and engaging in investor outreach, including researching of investor positions on corporate governance practices and assessing and advising on GE's governance policies;
  • Assist with sustainability matters and engagement activities, including formal and informal reporting on the Company’s narratives, progress and results across relevant environmental, social and governance (ESG) topic areas.
  • Coordinate internal and external legal resources to assure U.S. and international securities law and stock exchange listing compliance.
  • Prepare for the company's annual meeting of shareowners; and
  • Manage and forge strong working relationships with clients served within the GE Vernova enterprise.

Qualifications/Requirements

  • Bachelor’s degree from an accredited university or college.
  • Significant prior public company Board experience.
  • Member in good standing of the bar of any state in the U.S.

The salary range for this position is $170,000.00 to $350,000.00. The specific salary offered to a candidate may be influenced by a variety of factors including the candidate’s experience, their education, and the work location. In addition, this position is eligible for a 35% performance bonus.
