This position is designated to be 100% remote, but work space is available in the Dell Medical School Health Transformation building if an on-site or hybrid schedule is preferred. Flexible work arrangements are available for this position, including the ability to work remotely. Remote work for individuals who reside outside Texas but within the United States and its territories will be considered and requires Central Office approval.
Purpose
Draft and negotiate clinical research and other agreements on behalf of Dell Medical School researchers, ensuring compliance with University of Texas at Austin policies, guidelines, and federal and state law.
Responsibilities
  • Assist in the oversight, handling and management of all aspects of contract negotiation for clinical research and clinical research related activities for The University of Texas at Austin Dell Medical School (University). Negotiate and/or draft clinical trial agreements (CTA’s) independently with input from other contract related personnel as required. Assure all UT System and University guidelines are followed when working through agreements. Negotiate terms in a timely manner with continued communication of status to relevant parties. Draft and review new research and other agreements, including, but not limited to, grant agreements, foundation agreements, subcontract agreements, consulting agreements, along with CTA’s. Review documentation upon receipt of agreement for compliance with University policies and federal and state law, including issues related to AAHRPP accreditation requirements, environmental health and safety, human subjects (IRB), and animal subjects (IACUC), as well as terms regarding intellectual property, publication, confidentiality, insurance/indemnification, subject injury, export control, governing law, disputes, invoicing, and payments. Compare agreement budget and scope of work with proposal submission and confirm acceptance by University research personnel (principal investigators) and the Dell Medical School Sponsored Projects team.
  • Coordinate with appropriate University offices in the review and handling of various contractual issues (e.g., the Office of Technology Commercialization, Risk Management Office, Office of Legal Affairs). Coordinate with Export Control Officer as necessary on the review of potential export control risks arising from agreements and coordinate the development and execution of Technology Control Plans (TCPs) to ensure compliance with export control. Prepare initial response to agreement terms and conditions to sponsor in a timely manner; provide detailed written exceptions and recommendations on contractual language and issues of interest; coordinate negotiation calls and meetings regarding contractual language with sponsor, legal and technical representatives, and University researchers.
  • Provide assessment of financial, compliance and legal risks to management for review as necessary, including outlining risks associated with clauses not conforming to University of Texas System Board of Regents Rules and/or University policy. Assure that work is well documented in internal contract tracking systems and that communication to all stake holders is consistent throughout the negotiation process.   • Work with the Office of Sponsored Projects (OSP) and Office of Industry Engagement (OIE) to draft new subaward agreements and modifications to comply with prime sponsor requirements, federal and state law, and University policy; negotiate any objectionable contractual language with subrecipients. Coordinate with OSP on subrecipient monitoring activities, including collection of subrecipient audit and research compliance information. Work closely with OSP and OIE personnel to assure agreements are prepared and submitted properly (including any necessary administrative issues) through University contracting processing systems for execution. Maintain a friendly, professional relationship with OSP and OIE personnel to assure a smooth contracting process for all involved.
  • Enter and maintain data related to agreement and modification negotiations into appropriate university document control systems on a timely basis. Follow up on agreement and modification negotiations in a timely manner when responses have not been forthcoming from faculty or sponsors. Participate in professional development and attend conferences to remain current with standard and overall University, local, state and federal guidelines and regulations.

Required Qualifications
Bachelor's Degree in a related field and contract negotiation experience of at least eight (8) years. Prior experience with an academic medical institution, medical school, and/or clinical research awards. Knowledge of federal, state, and local guidelines and regulations. Proven initiative to anticipate, develop, and implement new procedures, practices and processes. Strong analytical and critical thinking skills to identify problems and develop innovative solutions. Demonstrated ability to analyze complex situations, identify and analyze problems and develop options and recommendations incorporating existing policies and procedures for resolution. Proven ability to develop, analyze, and carryout project objectives and work well with others of a diverse nature in achieving organizational goals. Strong leadership skills and ability to take responsibility for assigned areas, and to gain the confidence of clients and colleagues. Excellent interpersonal, as well as written and verbal communication skills to interact with others exercising tact, sound judgment, diplomacy, and flexibility to promote positive working relationships and job effectiveness. Proven organizational, analytical and management skills. Ability to maintain confidentiality of work performed in accordance with University policy. Preferred Qualifications
More than 10 years’ experience in preparation, processing, and negotiation of clinical research contracts, including clinical trial agreement review and negotiation. Experience working with contract negotiation or contract interpretation, including drafting language and subsequent negotiation in a university, hospital, or medical school environment. Experience coordinating, handling and negotiating complex awards or programs with multiple parties. Experience working with University of Texas System policies. Extensive knowledge working in contract management systems. Ideal candidate will work well with others and contribute positively to the office environment.
Salary Range
$90,000 + depending on qualifications
